Introduction
Our platform, Agroecopay, is a digital platform that specializes in providing virtual asset trading, cross-border payments, virtual bank accounts, deposit and withdrawal services. By accessing, using, or participating in the services, you, as a user, acknowledge that you, as a natural or legal person, have read, understood, and agreed to these Terms of Use. You agree to be bound by them and to comply with all applicable laws and regulations relating to your use of the services. These terms constitute a binding and enforceable legal contract between you and Agroecopay, and you are encouraged to read them carefully. Agroecopay reserves the right to perform its obligations to you under these terms, either directly or through one of its affiliates.
If you do not agree to these terms, please do not access or use the Service.
This Service is not permitted for use by individuals under the age of eighteen (18) or who are not of legal age in their place of residence.
The capitalized terms used in these clauses have the meanings described in the glossary below.
Glossary Explanation
The following terms used in these Terms have the following definitions:
1. Agroecopay refers to a digital platform that provides virtual asset trading, cross-border payments, virtual bank accounts, deposit and withdrawal services.
2. Virtual assets refer to a value representation that can be digitally traded or transferred.
3. Service level refers to the virtual asset trading, cross-border payments, virtual bank account opening, deposit, and withdrawal services provided by the Agroecopay platform.
4. User: A natural or legal person who accesses, visits, or uses the Agroecopay platform services.
5. Terms of Use: A legally binding contract between the user and Agroecopay, governing the rights and obligations of both parties and the rules for using the services.
6. Applicable Laws and Regulations: All laws, regulations, and regulatory requirements related to the user’s use of Agroecopay services that must be complied with.
- Affiliates: Related entities authorized by Agroecopay to fulfill their obligations to the user under these Terms of Use.
Service is subject to limited use
I. To ensure compliant operation of the platform and adherence to the regulatory requirements of the U.S. Money Services Business (MSB) license held by Agroecopay, the following persons or entities are prohibited from accessing or using this service:
1. Restricted Jurisdictions: Any individual or entity located in or ordinarily resident in the United States or other countries or territories where applicable laws, regulations, or sanctions programs (including but not limited to the United Nations Security Council, the U.S. Office of Foreign Assets Control (OFAC), etc.) prohibit or restrict Agroecopay from providing services. Agroecopay reserves the right to update the list of restricted jurisdictions at any time in accordance with changes in regulatory requirements.
2. Sanctioned Persons and Entities: Any individual, entity, organization, or government on a sanctions list, prohibited list, or restricted list administered by the U.S. OFAC or other applicable regulatory agencies, including but not limited to those listed on the Specially Designated Nationals (SDN) list.
3. Certain Users within the United States: Although Agroecopay holds an MSB license, certain services may not be available to residents of certain states or may be restricted without specific local permits, depending on specific U.S. federal and state regulations. Agroecopay reserves the right to restrict access to or use of some or all services by users in any U.S. state.
4. Political Public Figures: Foreign political public figures (PEPs), their immediate family members, or close associates are prohibited from using this service unless Agroecopay provides prior explicit written consent and completes enhanced due diligence.
5. Minors: Individuals under the age of 18 (18 years of age), or who have not reached the legal age of majority in their jurisdiction, are prohibited from using this service. The U.S. MSB license requires users to have full civil capacity and comply with the basic requirements for user eligibility under the Multistate Money Transmitter Acts. Minors lack the capacity to independently assume legal responsibility, and this poses a significant regulatory compliance risk. If a minor is found to have mistakenly registered, the account will be immediately suspended, related operations frozen, and the guardian will be notified for assistance. Service will not be restored until verification is completed.
- Users for Illegal Purposes: This service is prohibited from being used for any illegal purpose, including but not limited to money laundering, terrorist financing, fraud, tax evasion, or other financial crimes. Users are prohibited from using this service for any transactions that violate applicable laws and regulations. 7. Those who fail identity verification: We will check the regulatory requirements of the user’s registration location and the service usage location, and refuse to provide corresponding services to entities that do not meet the state-level authorization requirements; individuals or entities that fail to complete identity verification and provide true, accurate and complete information as required by Agroecopay will not be able to use or continue to use this service.
II. High-risk entities for anti-money laundering (AML) and counter-terrorist financing (CFT)
(A) Restricted Entities:
1. Individuals or entities known or suspected of being involved in money laundering, terrorist financing, proliferation financing (such as financing related to weapons of mass destruction), or other illegal and criminal activities;
2. Entities that have failed to meet the platform’s MSB compliance requirements for Know Your Customer (KYC), Customer Due Diligence (CDD), and Enhanced Due Diligence (EDD) (e.g., unable to provide valid identity documents, proof of address, proof of source of funds, etc.);
3. Entities from high-risk anti-money laundering countries/regions (based on the FATF blacklist and FinCEN high-risk region list) and have not provided sufficient compliance documentation;
- Entities listed as high-risk by financial institutions, regulatory agencies, or international organizations.
(B) Compliance Basis: The US MSB license requires the licensee to establish a robust AML/CFT compliance system, strictly implement KYC/CDD/EDD processes, identify and reject high-risk entities, and prevent money laundering and terrorist financing risks.
(C) Restrictive Measures: Conduct full lifecycle risk assessments for users; refuse service to those who fail due diligence; monitor transactions of high-risk users; immediately suspend service and submit a Suspicious Activity Report (SAR) upon detecting suspicious transactions; permanently ban confirmed illegal or non-compliant entities from using the platform services and cooperate with regulatory investigations.
Agroecopay reserves the right to refuse to provide services to any individual or entity at any time at its sole discretion, regardless of whether they fall into the above categories. Users are obligated to continuously ensure that their use of the service complies with all applicable laws and regulations and the provisions of these Terms.
Registration and User Account
Agroecopay User Account Registration You must register a user account to use our services. During registration, you must provide accurate and up-to-date information, including but not limited to: full name, valid email address, home address, country of residence, location of service access, mobile phone number, tax identification number, and occupation information. By registering or using a user account, you agree and represent that the account is created by you and is for your personal use only, and may not be used on behalf of any third party without our prior written approval. You are fully responsible for all activities occurring under your user account. However, we reserve the right to refuse your user account application or cancel an existing user account at our sole discretion for any reason.
Change Notification: If you change any information provided during registration, you promise to notify us within 14 days of the change.
Agroecopay Platform Service Risk Disclosure
- Counterparty and Market Risks
1. Virtual Asset Counterparty Risk: In virtual asset trading, your counterparty is an independent third party. There is a possibility of counterparty fraud, default, or operational errors. While this platform provides a trading venue, it does not guarantee the conduct of any third-party counterparty or assume credit risk.
2. Cross-Chain and Bridging Risks: If this platform supports cross-chain transactions in the future, this process will rely on third-party cross-chain bridges or smart contracts. These third-party technical protocols may have undiscovered security vulnerabilities or may result in the permanent loss of your assets during the cross-chain process due to hacker attacks.
- Agroecopay does not supervise, manage, or guarantee the availability, performance, security, or legal compliance of these third parties.
II. Technical and Security Risks
1. Risk of Third-Party Hacking and Malicious Attacks: This platform is a prime target for malicious third parties such as hackers and criminal organizations. They may attempt to compromise the platform’s security defenses through technical means or induce users to disclose credentials through social engineering. Although we invest heavily in our security system, we cannot guarantee the complete elimination of such malicious third-party interference. In the event of a security incident, your virtual assets may be lost, and such losses may be irrecoverable.
- Risk of Associated Third-Party Applications: If you authorize or link any third-party software, wallets, or applications (e.g., via API key connection) while using this platform’s services, the security vulnerabilities or malicious behavior of such third-party applications will directly jeopardize the security of your account and assets on this platform. Agroecopay is not liable for any malfunctions, errors, delays, service interruptions, data loss, security incidents, financial losses, or any other damages caused by your authorization of access to any third party.
Maintain your account
a) You must regularly and carefully check your platform account and contact us (Support@Agroecopay.com) if you discover any missed transactions, incorrect payments, or other errors. You must immediately inform us of any unauthorized or incorrectly executed transactions, but no later than the date of the transaction; otherwise, you may not be entitled to correction of any errors.
b) You accept the risks associated with trading in cryptocurrencies and other cryptocurrencies. You agree and accept all risks associated with cryptocurrencies and other cryptocurrencies, including any risks related to fluctuations in relevant exchange rates over time.
c) You agree not to use our services for speculative trading.
d) Taxes. You are responsible for all taxes that may apply to your payments. It is your responsibility to collect, report, and pay taxes correctly to the relevant tax authorities.
Users can apply to cancel their accounts
a) You can close your account via the mobile application; the website does not offer account closure functionality. You can terminate your contract by accepting these Terms of Use and closing your account. During account closure, all information related to the KYC process will be deleted, except for data that must be retained for regulatory compliance purposes. Please contact our customer service at any time (Support@Agroecopay.com) if you have any questions.
b) You may not close your account to avoid investigation. If you attempt to close your account during an investigation, we may withhold your funds until the investigation is fully completed to protect our or a third party’s interests.
c) By deleting your account after closure, you acknowledge and agree that the account will be permanently deleted.
You will not be able to access or reactivate a deleted account. The email address or phone number associated with a closed account may not be used to create a new account.
Management fee
If your account still has a positive balance after you close it, we reserve the right to charge you an administration fee as specified on the fees page. This fee covers the costs of maintaining your closed account. We will notify you before charging the administration fee, giving you the opportunity to withdraw any remaining positive balance and avoid payment.
We may continue to charge the administration fee until you withdraw any remaining funds from your account or the balance reaches zero (whichever comes first).
Disclaimer
All services provided on this platform are on an “as is” and “as available” basis. To the fullest extent permitted by law, Agroecopay expressly disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights.
This disclaimer is governed by and construed in accordance with the laws governing your Terms of Use with Agroecopay. If any provision of this disclaimer is held to be invalid or unenforceable, that provision shall be limited or deleted to the minimum necessary extent, and the remaining provisions shall remain in full force and effect.
- Specific Exemption Circumstances
1. Exemption from liability for losses related to market fluctuations: The price of virtual assets is subject to the risk of drastic fluctuations due to multiple factors such as the macroeconomy, industry policies, market sentiment, and third-party market manipulation. Economic losses caused by market fluctuations. Malfunctions or delays caused by events beyond Cryptollane’s control. Service interruptions directly or indirectly caused by unforeseen circumstances or force majeure events (including but not limited to third-party technical attacks, service interruptions of partner institutions, network failures of telecommunications operators, power outages, temporary adjustments to regulatory policies, etc.). Delays in payment execution or settlement caused by operational or external factors. Agroecopay and its affiliates, employees, or representatives shall not be liable for any compensation.
(B) Force Majeure-Related Disclaimer
1)Due to force majeure or third-party reasons, if either party delays or fails to perform its obligations (excluding unpaid due payments), the party shall be exempt from or released from liability for performing such obligations to the extent affected by the force majeure.
2) Force majeure refers to objective circumstances occurring after the signing of this Agreement that are unforeseeable, unavoidable, and insurmountable by the affected party. Such events include, but are not limited to, floods, fires, droughts, typhoons, earthquakes and other natural disasters, strikes, riots, civil unrest and war, and government actions, or other unforeseeable, unavoidable, and insurmountable objective circumstances. Agroecopay and its affiliates, employees, or representatives shall not be liable for any direct or indirect interruption, delay, termination, or damage to user rights caused by such events.
3)If a force majeure event lasts for more than thirty days, the unaffected party shall have the right to terminate this Agreement during the duration of the force majeure event.
(C) Disclaimer Regarding Cybersecurity While Agroecopay has established a robust cybersecurity protection system, it does not guarantee that its platform services are completely free of vulnerabilities, malware, or cyber threats. Given the unique nature of this industry, the platform will not be liable for additional damages in the event of malicious hacker attacks, software design flaws, computer virus intrusions and outbreaks that cannot be prevented by existing conventional security measures, large-scale outbreaks of new viruses, network outages and server inaccessibility due to telecommunications operator issues, user interface malfunctions of partner banks or related financial institutions, mobile operator gateway malfunctions, or unexpectedly significant increases in transaction volume due to a single instruction, provided that the platform has fulfilled its reasonable duty of care and taken remedial measures.
(D) Final Confirmation
You hereby confirm that you have read, understood, and unconditionally accepted the entire contents of this disclaimer. You acknowledge that in the virtual asset and fintech field, Agroecopay’s liability must be limited to a reasonable and foreseeable extent. This statement aims to fairly allocate known and unknown risks between you and the platform.

To protect your rights and efficiently handle various matters, please contact us through the following designated channels according to your specific needs:
• General Inquiries and Account Issues: For non-urgent issues such as service usage and account irregularities, please contact us at Support@Agroecopay.com. We will respond within a reasonable timeframe.
• Reporting Violations and Submitting Disputes: To report any violation of this agreement or to submit a dispute regarding its performance, please submit it to our compliance department at Compliance@Agroecopay.com. To ensure effective handling of the matter, please provide a detailed description and relevant evidence in your email.
We strongly recommend that you communicate with us in writing to maintain records and serve as valid evidence for subsequent processing.
Other important terms
- Except as required by law or with the express written permission of Agroecopay, you may not transfer, lend, pledge, authorize, or otherwise dispose of all or part of any rights or obligations under this Agreement to any third party. Any unauthorized disposal is invalid and constitutes a fundamental breach of contract. Agroecopay has the right to unilaterally terminate the service, freeze your account, and demand compensation from you for all losses incurred as a result (including but not limited to direct losses, costs of legal action, and losses corresponding to regulatory penalties).
2. If any provision of this Agreement (including the Service Plan) is deemed unenforceable by a court or regulatory body, the remaining provisions of this Agreement (including the Service Plan) shall remain in full force and effect.
3. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the United States and the relevant regulatory requirements of the Agroecopay MSB license. Where U.S. law is silent, international practice shall apply. Any dispute arising out of or relating to this Agreement shall first be settled amicably through negotiation. If such negotiation fails, either party shall have the right to bring suit in a court with jurisdiction in the place of registration of Agroecopay (not exclusive jurisdiction; this does not preclude the assertion of rights in other courts with jurisdiction under applicable laws). During the dispute resolution process, the parties shall continue to perform the other provisions of this Agreement, except for the disputed matter.
In this Agreement, “affiliate” means any entity in which the platform has equity, or any entity that has equity in the platform, including subsidiaries or branches of such entities. For the avoidance of doubt, “affiliate” also includes entities that directly or indirectly control or are directly or indirectly controlled by the platform.
Translation of terms
Any translation of these Terms and Conditions is for your reference only. If these Terms and Conditions are translated into other languages and cause any conflict between the English version and the non-English version, the English version shall prevail.
